End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and Suzor IT ("Company," "we," "us," or "our") governing your use of the SuzorOS QuickBooks Integration ("Application"). By installing, accessing, or using the Application, you agree to be bound by the terms of this Agreement.

1. License Grant

Subject to your compliance with this Agreement, Suzor IT grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for its intended purpose: enabling integration between the SuzorOS internal platform and Intuit QuickBooks Online for authorized Suzor IT personnel.

2. Scope of Use

The Application is provided for internal business use by Suzor IT and its authorized employees and contractors. It is not licensed for resale, redistribution, or use by third parties without express written permission from Suzor IT.

3. Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Application

  • Reverse engineer, decompile, or attempt to extract the source code of the Application, except to the extent permitted by applicable law

  • Use the Application in any manner that violates applicable laws or regulations

  • Use the Application to access, store, or transmit unlawful, harmful, or infringing content

  • Attempt to gain unauthorized access to any portion of the Application, related systems, or networks

4. Data and Privacy

The Application accesses and processes data from Intuit QuickBooks Online on behalf of authorized users. Suzor IT handles such data in accordance with its internal data handling policies and applicable law. The Application's use of information received from Intuit APIs adheres to the Intuit Developer Code of Conduct and applicable Intuit policies.

5. Intuit Services

The Application integrates with Intuit QuickBooks Online but is not endorsed by, sponsored by, or affiliated with Intuit Inc. Your use of QuickBooks Online remains subject to Intuit's own terms of service. Suzor IT is not responsible for the availability, accuracy, or performance of Intuit's services.

6. Intellectual Property

The Application, including all associated source code, designs, documentation, and trademarks, is the property of Suzor IT and is protected by intellectual property laws. No rights are granted to you other than the limited license expressly stated in this Agreement.

7. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUZOR IT DOES NOT WARRANT THAT THE APPLICATION WILL BE ERROR-FREE OR UNINTERRUPTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUZOR IT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION, EVEN IF SUZOR IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Termination

This Agreement is effective until terminated. Suzor IT may terminate this Agreement at any time, with or without cause, by discontinuing your access to the Application. Upon termination, you must cease all use of the Application. Sections 3, 6, 7, 8, and 10 shall survive termination.

10. Governing Law

This Agreement is governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Massachusetts.

11. Changes to This Agreement

Suzor IT reserves the right to modify this Agreement at any time. Updated versions will be posted at the same URL as this document. Continued use of the Application after changes are posted constitutes acceptance of the revised Agreement.
